ROXEN INTERNET SOFTWARE AB ROXEN LICENSE AGREEMENT PLEASE READ THIS SOFTWARE LICENSE AGREEMENT CAREFULLY BEFORE ACCEPTING THE SOFTWARE. BY ACCEPTING, YOU AGREE TO BE BOUND BY THE TERMS OF THIS LICENSE AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE AGREEMENT, YOU ARE NOT AUTHORIZED TO USE THE SOFTWARE. 1. LICENSE All right and title to the software (including templates) and documentation which is accompanied by this License Agreement (the "Roxen Software") is proprietary to Roxen Internet Software AB ("Roxen") or its suppliers. Roxen grants the end user of the Roxen Software who is a party to this License Agreement ("Licensee") a perpetual, non-exclusive, non-transferrable license to use the Roxen Software in accordance with the terms stated in this License Agreement. The rights granted pursuant to this License are contingent upon the Licensees duly payment of the license fees for the Roxen Software. This License permits the Licensee to; - install one (1) copy of the Roxen Software on one (1) single computer at a time. - create one (1) Web Site, that is set up one (1) Virtual HTTP Server and one (1) Virtual FTP Server with the Web Site. Complementary licenses may be applied for from Roxen or a Roxen authorized representative. The Roxen Software may contain programs to which the copyrights are owned by other parties and can be used subject to their respective license agreements. 2. RESTRICTIONS Except as permitted by applicable law and this License Agreement, the Licensee may not, copy, use, decompile, reverse engineer, disassemble, rent, lease, loan, distribute, sublicense, or create derivative works from the Roxen Software. The Licensee may not investigate the Roxen Software for the purpose of creating competing programs. The Licensee may not make copies of the Roxen Software other than a reasonable amount of back-up copies of the Roxen Software in machine-readable form, provided such copies are used for back-up only and provided all such copies include all copyright information contained on the original. The Roxen Software may not be utilized for hosting other Web Sites than specified in this License Agreement. 3. TECHNICAL SUPPORT, UPDATES AND UPGRADES No technical support is provided under this License Agreement. Should the Licensee wish to retain technical support for the Roxen Software, the Licensee may upgrade to Roxen CMS and subscribe for Roxen Support pursuant to the Roxen Support Agreement in effect from time to time. Roxen does not provide the Licensee with updates or upgrades under this License Agreement. 4. DISCLAIMER OF WARRANTY The Roxen Software is provided "AS IS" and without warranty of any kind. Roxen expressly disclaims any and all warranties whether express or implied. No oral or written information or advice given by Roxen shall create a warranty. Roxen does not warrant that the functions contained in the Roxen Software will meet the Licensees requirements, or that the operation of the Roxen Software will be uninterrupted or error-free, or that defects in the Roxen Software will be corrected. Should the Roxen Software prove defective, the Licensee (and not Roxen or an Roxen authorized representative) assumes the entire cost of all necessary support or correction. Roxen Software designated as alpha, beta, development, pre-release, untested, or not fully tested, may contain errors that could cause failures or loss of data, and may be incomplete or contain inaccuracies. 5. LIMITATION OF LIABILITY Under no circumstances, including negligence, shall Roxen be liable for any incidental, special, indirect or consequential damages arising out of or relating to this License Agreement. In no event shall Roxen's total liability to the Licensee for all damages exceed the amount of the license fees paid by the Licensee under this License Agreement. 6. EXPORT LAW ASSURANCES The Licensee may not use or otherwise export or re-export the Roxen Software except as authorized by the laws of the jurisdiction in which the Roxen Software was obtained. 7. GOVERNING LAW AND SEVERABILITY Any action related to this License Agreement shall be governed by the laws of Sweden, excluding its conflict of law provisions. Any dispute, controversy or claim arising out of or in connection with this License Agreement, or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the Rules of the Arbitration Institute of the Stockholm Chamber of Commerce. The arbitration proceedings shall be conducted in English and the location shall be Stockholm. If for any reason any provision, or portion thereof, is to be held unenforceable, this Agreement will remain in effect with the provision omitted. 8. COMPLETE AGREEMENT This License Agreement constitutes the entire agreement between the parties with respect to the use of the Roxen Software and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this License Agreement will be binding unless in writing and signed by Roxen.
